On December 9, 2013, Hologic Inc. (Hologic) announced that it has appointed Jonathan Christodoro and Samuel Merksamer to the Company's Board of Directors, with immediate effect in accordance with a settlement agreement with Carl C. On December 5, 2013, Endologix Inc. (Endologix) announced the pricing of its public offering of $75 million aggregate principal amount of convertible senior notes due 2018 (the Convertible Notes). The Company informed that it has granted an option to the underwriters for up to an additional $11.25 million aggregate principal amount of Convertible Notes solely to cover overallotments. Endologix stated that the Convertible Notes will pay semiannual interest of 2.25% and will be convertible into shares of the Company's common stock, cash or a combination of cash and shares of the Company's common stock, at the Company's election, based on the applicable conversion rate at such time. The Company said that the Convertible Notes will mature on December 15, 2018, unless repurchased, redeemed or converted in accordance with their terms prior to such date.
